An NDA may define specific information that is considered to be confidential, a description of the party’s obligations and a defined time period the information is considered to be confidential. Buy-Sell Agreements

A Buy-Sell Agreement is a contract between business owners. A Buy-Sell Agreement commonly defines what happens to business ownership in the event of defined circumstances. Retirement, divorce, bankruptcy, death or the sale of a business are all events that have the potential to result in expensive litigation fees due to ownership disputes.

Service Agreements

Employment Agreements

An Employment Agreement is a written agreement between an employee and an employer. One of the many benefits of an employment agreements is that it creates certainty by stating the rights, expectations and obligations of both parties. An employment agreement may include a job description, compensation, hours worked, vacation time and fringe benefits. Examples of potential clauses in an employment agreement may include the following: non-compete, termination, dispute resolution, severance and non-disparagement.

Financing Agreements

A Financing Agreement is typically a contract between a borrower and a creditor. Finance agreements will include the amount to be borrowed, terms of repayment, explanation of how the money is to be used and how disputes will be resolved. Financing agreements have the potential to be very complex and the use of an attorney to help draft and negotiate an agreement can be beneficial to protect either party from a possible lawsuit.

Reseller Agreements

A Reseller Contract is an agreement where a party agrees to sell, market distribute or lease a product on the other party’s behalf. A reseller contract should clearly state the terms and conditions of the business relationship and can contain provisions that protects both parties.

Manufacturing Agreements

A Manufacturing Agreements is a written agreement between a manufacturer and a customer for the manufacture of products or goods. A manufacturing agreement and negotiation of a manufacturing agreement is complex. Unlike most contracts and agreement, a manufacturing contract contain numerous and specific provisions

Non-Compete Agreements

Non-Compete Agreement – a contract between an employee and an employer. This contract prohibits an employ from engaging in business that completes with their current employer’s for a certain amount of time after they have left the company.
